TERMS OF SERVICE
These Terms of Service (“Terms”) govern your access to and use of Paradiso’s products, websites, and services (collectively, the “Services”). By clicking “I Agree,” registering for an account, or accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy available at https://www.paradiso.ai/privacy-policy/. If you do not agree, do not use the Services.
1. Parties
These Terms are entered into by and between Paradiso Software Pvt Lmt (“Paradiso,” “we,” “us,” or “our”) and the person or entity agreeing to these Terms (“Customer,” “you,” or “your”). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, in which case “you” means that organization.
2. Eligibility & Accounts
- You must be at least 18 years old and capable of forming a binding contract.
- You are responsible for your account credentials, all activity under your account, and for maintaining accurate contact and billing information.
- If you authorize additional users under your account (“Authorized Users”), you are responsible for their compliance with these Terms. Organizations may manage and control Authorized User accounts.
3. Services & License
3. 1 License.
Subject to your compliance with these Terms and payment of all fees, Paradiso grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term.
3. 2 Restrictions.
You may not: (and will not permit anyone else to)
(a) copy, modify, distribute, sell, lease, or sublicense the Services;
(b) reverse engineer or attempt to extract source code except to the extent such restriction is prohibited by law;
(c) remove proprietary notices or trademarks;
(d) access the Services to build a competing product;
(e) use the Services in violation of law, these Terms, or recording/consent rules.
3. 3 Beta/Free Features.
We may provide free, alpha, beta, or preview features (“Beta”). Beta features are provided AS IS, may be modified or discontinued, and may be less reliable than generally available features.
4. Customer Content, UGC, and AI Outputs
4.1 Ownership.
You retain ownership of all content you input into the Services (e.g., text, audio, video, meeting recordings, transcripts, files) (“Customer Content”).
4.2 License.
You grant Paradiso a worldwide, non-exclusive license to host, process, transmit, display, and use Customer Content as necessary to provide and maintain the Services.
4.3 User-Generated Content (UGC).
If you create or share content using Paradiso tools (e.g., courses, meeting notes, training material), you grant Paradiso a limited, revocable license to use Paradiso AI Content embedded in such UGC solely to deliver the Services.
4.4 Responsibility.
You are solely responsible for Customer Content and UGC, including obtaining all required consents for recording, transcription, or sharing. You must comply with applicable data protection, telecom, employment, wiretapping, and e-privacy laws.
4.5 AI Outputs.
Services may generate outputs using AI/machine learning (“Outputs”). Outputs may be inaccurate, incomplete, or inappropriate and are provided for informational purposes only. You must review, verify, and approve Outputs before relying on them. Outputs are not legal, medical, financial, or professional advice.
4.6 Feedback.
If you provide feedback or suggestions, you grant Paradiso a perpetual, royalty-free license to use it without restriction.
5. Acceptable Use
You will not use the Services to:
- Infringe IP or rights of others;
- Upload unlawful, harmful, or personal data without a legal basis;
- Introduce malware or disrupt security;
- Scrape, harvest, or create automated accounts without consent;
- Record conversations without required consent;
- Send spam or conduct abusive recordings;
- Violate export controls, sanctions, or anti-corruption laws.
We may suspend or terminate your Services for suspected violations or risks.
6. Third-Party Services & Trademarks
The Services may integrate with third-party platforms (e.g., Microsoft Teams, Zoom, Google Workspace). Your use of those services is subject to their terms. Paradiso is not responsible for third-party services.
Third-party trademarks are the property of their respective owners, and no license is granted to you.
7. Privacy, Security & Google Data Use

For details on how we access and use Google user data, please refer to our Google API Data Use Disclosure.
You are responsible for providing legally sufficient privacy notices and obtaining required consents from individuals whose data you share.
8. Cookies & Analytics
We use cookies and analytics tools (e.g., Microsoft Clarity, Google Analytics, session tracking) to monitor and enhance our Services. Some cookies are essential, while others require your consent. For details, please refer to Point 8 in our Privacy Policy on our Privacy Policy page.
9. Fees, Taxes & Refunds
You agree to pay all fees and applicable taxes. Fees are non-refundable except as required by law or stated in an order. Late payments may result in interest charges or suspension.
10. Intellectual Property
Paradiso and its licensors own all rights, title, and interest in the Services, including software, models, documentation, and designs. Except for the limited rights expressly granted, no other rights are provided.
11. Confidentiality
Each party agrees to protect confidential information disclosed by the other and use it only for purposes of these Terms. Exclusions apply for information that is public, independently developed, or legally obtained.
12. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND QUIET ENJOYMENT. We do not warrant that the Services will be uninterrupted, accurate, or error‑free.
13. Limitation of Liability
13.1 No Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARADISO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Aggregate Cap. PARADISO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PARADISO FOR THE SERVICES IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13.3 Exclusions. Nothing in these Terms limits liability for amounts that cannot be limited under applicable law (e.g., fraud or willful misconduct where such limitation is prohibited).
13.4 Exclusive Remedy. Your exclusive remedy for dissatisfaction with the Services is to stop using the Services and, where applicable, seek a refund consistent with this Section 12 and Section 8.
14. Indemnification
You will indemnify and defend Paradiso against third-party claims arising from: (a) your Customer Content or UGC; (b) your breach of these Terms or law; (c) failure to obtain consents for recordings or data use.
15. Suspension & Termination
We may suspend or terminate your Services for material breach (including non-payment) not cured within 10 days of notice. Free accounts may be suspended or terminated immediately for misuse. Upon termination, rights to use the Services end.
16. Export & Sanctions
You represent you are not barred by export controls or sanctions. You will comply with U.S. FCPA, UK Bribery Act, and other anti-corruption/export laws.
17. Dispute Resolution; Arbitration (Mumbai)
17.1 Governing Law. These Terms and any disputes are governed by the laws of India, without regard to conflict‑of‑laws principles.
17.2 Informal Resolution. Before filing a claim, the parties will attempt to resolve disputes in good faith by contacting care@paradiso.ai and allowing 30 days for resolution.
17.3 Arbitration Agreement. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by arbitration in Mumbai, Maharashtra, India, under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted in English by a sole arbitrator. The arbitrator will be appointed by mutual agreement of the parties; failing such an agreement within 14 days, the arbitrator shall be appointed in accordance with the Act.
17.4 Costs. The party initiating arbitration must advance the arbitration filing fees and initial arbitrator fees. The arbitrator shall determine the final allocation of all costs and fees (including attorneys’ fees and arbitration charges) in the award.
17.5 Confidentiality & Injunctive Relief. The arbitration and award shall be confidential. Either party may seek temporary or injunctive relief from the courts of Mumbai, India to protect rights pending arbitration or to enforce an award.
17.6 Class/Representative Actions Waiver. To the fullest extent permitted by law, disputes must be brought on an individual basis and not as a class, collective, or representative action.
17.7 Time Limit. Any claim must be filed within one (1) year after it accrues, otherwise it is permanently barred (to the extent permitted by law).
18. Notices
We may provide notices via email, in-product messages, or your account. Notices to Paradiso must be sent to care@paradiso.ai.
19. Assignment
You may not assign or transfer these Terms (including by merger, change of control, or operation of law) without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.
20. Force Majeure
Neither party is liable for delays caused by events outside reasonable control (e.g., internet failures, war, terrorism, natural disasters, strikes).
21. Entire Agreement
These Terms (plus any signed order or referenced addendum) are the entire agreement between you and Paradiso, superseding prior agreements.
